Terms of Service

1. Acceptance of Terms

By accessing or using any service operated by Zaira Labs LLC (“Zaira Labs,” “we,” “us,” or “our”) — including the website at zairalabs.ai, the Zaira Guide, the Zaira API, the Zaira MCP server, the Zaira Standard, and the Zaira Score (collectively, the “Services”) — you (“you” or “User”) agree to be bound by these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Services.

2. Description of Services

Zaira Labs provides developer tool evaluation data and related information products. The Services include:

2.1. Zaira Guide. A directory of developer tools containing evaluation data, decision logic, comparative analysis, and structured metadata. Tools are listed at the editorial discretion of Zaira Labs. Listing is not a right, and Zaira Labs may add, remove, or modify listings at any time without notice.

2.2. Zaira Standard. A published evaluation methodology (the Zaira Standard) that defines the criteria, modules, scoring system, and tier thresholds used to evaluate developer tools. The standard is versioned.

2.3. Zaira Score. A quantitative evaluation metric produced by applying the Zaira Standard to a developer tool. Scores reflect the methodology-based assessment of a tool at the time of evaluation.

2.4. Zaira Certified. Zaira Labs’ certification program. Certification is offered and governed under a separate Zaira Certified Agreement between the tool vendor and Zaira Labs.

2.5. Zaira API. A REST API providing programmatic access to Zaira Guide data, scores, and evaluation results.

2.6. Zaira MCP Server. A Model Context Protocol (MCP) server providing tool-accessible endpoints for AI agents and agent frameworks.

3. Account Registration

3.1. Certain Services — including accessing paid API tiers — require account registration.

3.2. You agree to provide accurate, current, and complete registration information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.3. You must notify Zaira Labs promptly at team@zairalabs.ai if you become aware of any unauthorized use of your account.

3.4. Zaira Labs reserves the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are used for fraudulent purposes.

4. Evaluation Methodology and Opinion Disclaimer

This section is material to these Terms. Please read it carefully.

4.1. Evaluations Are Opinions, Not Statements of Fact. Zaira Scores, tier designations, certification results, editorial content (including “use when,” “avoid when,” and alternatives guidance), and all other evaluation outputs represent the methodology-based opinions of Zaira Labs. They are produced by applying a documented, reproducible evaluation methodology to publicly available and vendor-provided information. They are not statements of fact, guarantees, endorsements, or warranties regarding the quality, security, reliability, fitness, or suitability of any evaluated tool.

4.2. Fair Comment and Honest Opinion. Zaira Labs’ evaluations constitute fair comment and honest opinion on matters of public interest — namely, the quality and agent-readiness of developer tools offered to the public. All evaluation opinions are based on disclosed criteria, documented evidence, and a published methodology. Zaira Labs exercises its right to express these opinions freely and in good faith.

4.3. Point-in-Time Snapshots. Each evaluation is a point-in-time snapshot. A Zaira Score or certification reflects the state of the evaluated tool’s specific software version against a specific version of the Zaira Standard at the time the evaluation was conducted. Zaira Labs does not continuously monitor evaluated tools. Tools may change after evaluation in ways that would affect their score. Zaira Labs is not obligated to update, re-evaluate, or withdraw any evaluation result based on subsequent changes to the evaluated tool.

4.4. No Guarantee of Accuracy or Completeness. While Zaira Labs endeavors to conduct thorough and accurate evaluations, we do not warrant that any evaluation is free from error, complete in its coverage, or reflective of a tool’s current state at any time after the evaluation date.

4.5. No Reliance. You should not rely solely on Zaira Labs’ evaluations when making tool selection, procurement, or deployment decisions. Evaluations are one input among many. Zaira Labs is not responsible for any decision you make based on our evaluations, scores, certifications, or editorial content.

4.6. Editorial Independence. Zaira Labs does not sell placement in the Zaira Guide. Scores are not influenced by commercial relationships. Editorial content is produced independently of the certification program. Payment for certification does not guarantee a favorable outcome.

4.7. Third-Party Tools and Services. The Zaira Guide, API, and MCP server reference, link to, and provide information about third-party developer tools and services. Zaira Labs does not operate, control, or maintain these third-party tools. Your use of any third-party tool discovered through the Services is governed entirely by that tool’s own terms of service, privacy policy, and license agreements — not by these Terms. Zaira Labs is not a party to any relationship between you and a third-party tool vendor.

4.8. No Ongoing Security Guarantee. Certification, scoring, and directory listings do not constitute a guarantee that a tool is secure, free from vulnerabilities, or safe to use at any point after the evaluation date. Tools may become compromised, deprecated, abandoned, or materially changed after evaluation. Zaira Labs does not continuously monitor the security posture, operational status, or integrity of any listed or certified tool. You are responsible for conducting your own security and suitability assessment before using any tool, regardless of its Zaira Score or certification status.

4.9. Limitation on Directory and MCP Liability. If an agent or user discovers a tool through the Zaira Guide, API, or MCP server and that tool causes harm — including but not limited to data loss, security breach, financial loss, or system compromise — Zaira Labs is not liable for that harm. We provide information to help with tool selection. We do not warrant, guarantee, or insure the tools themselves.

5. Zaira Certified Marks and Badge

5.1. Exclusive Marks. “Zaira Labs,” “Zaira Guide,” “Zaira Standard,” “Zaira Score,” “Zaira Certified,” the “Zaira Certified — Agent Ready” and “Zaira Certified — Agent Native” tier designations, the Zaira Certified badge, the zaira_labs wordmark, and all related marks, logos, and trade dress (collectively, the “Zaira Marks”) are trademarks of Zaira Labs. All rights in the Zaira Marks are reserved to Zaira Labs.

5.2. No Third-Party Use. No person or entity may: (a) use, display, or reproduce the Zaira Marks; (b) represent that any product or service is “Zaira Certified,” has achieved a Zaira tier, or has been evaluated under the Zaira Standard; (c) use any confusingly similar name, mark, or designation; or (d) display the Zaira Certified badge in any medium, including website, repository, README, marketing, or documentation, except under a written license from Zaira Labs. The sole path to such a license is a Zaira Certified Agreement between the vendor and Zaira Labs.

5.3. Accuracy of Claims. Even under a valid license, a vendor may only represent certification (a) for the specific product and version that was evaluated, (b) at the tier actually achieved, and (c) during the period the certification is valid under the governing Zaira Certified Agreement. Any other representation is unauthorized.

5.4. Enforcement. Unauthorized use of the Zaira Marks or misrepresentation of certification status is a material violation of these Terms. Zaira Labs may pursue all available legal and equitable remedies, including immediate injunctive relief without the requirement to post a bond.

6. API and MCP Server Usage

6.1. Access. The Zaira API and Zaira MCP server are provided subject to rate limits, authentication requirements, and usage tiers as published in the API documentation. Zaira Labs reserves the right to modify rate limits, introduce or modify authentication requirements, and adjust usage tiers with reasonable notice.

6.2. Acceptable API Use. You agree to:

(a) Comply with published rate limits and usage guidelines;
(b) Include accurate identification in API requests (such as User-Agent headers) when required;
(c) Cache responses appropriately and avoid unnecessary redundant requests;
(d) Not attempt to circumvent rate limits, authentication, or access controls.

6.3. Prohibited API Use. You may not use the API or MCP server to:

(a) Systematically scrape, download, or replicate the Zaira Guide data in whole or in substantial part;
(b) Build, train, or improve a product or service that competes with the Services, including but not limited to developer tool directories, evaluation services, certification programs, or agent-oriented tool discovery services;
(c) Redistribute Zaira Labs data as a standalone dataset or data product;
(d) Misrepresent the source of data obtained from Zaira Labs;
(e) Use automated means to exceed usage limits or access data beyond your authorized tier.

6.4. Service Levels. Zaira Labs does not guarantee any specific uptime, availability, or response time for the API or MCP server. The API and MCP server are provided on an “as available” basis.

6.5. Changes and Deprecation. Zaira Labs may modify, deprecate, or discontinue API endpoints or MCP server capabilities. We will provide at least 90 days’ notice before removing functionality that paying customers depend on. Stable API versions follow the deprecation policy published at /api/v1/versions, which commits to at least 365 days between an API version’s deprecated_at and sunset_at dates.

6.6. Pricing Stability. Once Zaira Labs publishes paid pricing tiers, published rates will hold for at least 12 months from the date of publication. Rate increases affecting an account active at the time of the change will not take effect for that account until at least the end of the then-current billing period plus 90 days. This commitment does not apply to launch promotional pricing, which Zaira Labs may withdraw at any time before its scheduled end date.

6.7. Service Sunset and Data Portability. If Zaira Labs sunsets the Zaira Guide REST API or MCP server in their entirety, we will:

(a) Provide at least 12 months’ advance notice via the website and the published version registry at /api/v1/versions;
(b) Maintain read-only access to the API for at least 90 days after the public sunset date so integrators can complete their migration;
(c) Make a final, machine-readable export of the public catalog dataset available for download under a non-exclusive license permitting reuse with attribution; and
(d) Continue to honor any active certification badges issued under a separate Zaira Certified Agreement until those agreements’ contractual terms expire.

This sunset policy is a Zaira Labs commitment, not a guarantee that the Services will continue. It defines the terms under which the Services would wind down if Zaira Labs ceased to operate or chose to discontinue them.

6.8. Service Commitments (Best-Effort). While the Services are provided “as available” under §6.4, Zaira Labs publishes the following best-effort commitments. These are not contractual SLAs and do not create rights to refunds or service credits, but they describe the operating posture you can expect:

Issues filed via the public repository are triaged within 48 hours.
All open issues receive a maintainer response within 7 days.
Critical security issues are addressed within 14 days of confirmation, per the Security Policy.
Material API changes follow the deprecation timeline in §6.5.
Any incident that meaningfully affects user data or service availability will receive a published post-mortem.

These commitments may be revised through the modification procedure in §14.

7. Intellectual Property

7.1. Zaira Labs IP. The Zaira Standard (including all criteria, modules, scoring systems, tier definitions, and methodology), evaluation processes, the Zaira Score algorithm, the Zaira Marks, the Zaira Guide editorial content (including decision logic, comparative analysis, and suitability recommendations), website content, and all associated trademarks, trade dress, and copyrightable materials are the intellectual property of Zaira Labs or its licensors. All rights not expressly granted in these Terms are reserved.

7.2. Limited License to Users. Zaira Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This includes viewing evaluation data, querying the API and MCP server within published limits, and referencing evaluation results with attribution. This license does not include the right to copy, modify, distribute, sell, or create derivative works from the Services or any content therein, except as expressly permitted.

7.3. Attribution. You may reference Zaira Scores and evaluation results in your own materials, provided that you: (a) attribute the data to Zaira Labs; (b) include the evaluation date and standard version; (c) do not misrepresent the results; and (d) do not imply endorsement by Zaira Labs of your product, service, or content.

7.4. Feedback. If you provide suggestions, feature requests, or other feedback about the Services, Zaira Labs may use that feedback without restriction or obligation to you.

8. Prohibited Conduct

In addition to the specific restrictions elsewhere in these Terms, you agree not to:

(a) Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
(b) Interfere with or disrupt the Services, servers, or networks connected to the Services;
(c) Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems;
(d) Use any robot, spider, scraper, or other automated means to access the Services except through the API and MCP server within published usage limits;
(e) Misrepresent Zaira Scores, certification status, tier designations, or any other evaluation data;
(f) Submit false, deceptive, or fraudulent information, including false correction requests or manipulated tool submissions;
(g) Attempt to reverse-engineer the Zaira Score algorithm or evaluation methodology beyond what is publicly documented in the Zaira Standard;
(h) Use the Services to engage in competitive intelligence gathering for the purpose of building a competing service, beyond ordinary reference use;
(i) Use, display, or reproduce any Zaira Mark, or represent that any product or service is “Zaira Certified,” has achieved a Zaira tier, or has been evaluated under the Zaira Standard, except under a written license from Zaira Labs (see Section 5).

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ZAIRA LABS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, ZAIRA LABS DOES NOT WARRANT THAT:

(a) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
(b) EVALUATIONS, SCORES, OR CERTIFICATIONS ARE COMPLETE, ACCURATE, RELIABLE, OR CURRENT;
(c) ANY TOOL LISTED IN THE ZAIRA GUIDE OR HOLDING A ZAIRA CERTIFICATION IS SECURE, RELIABLE, FIT FOR ANY PURPOSE, OR FREE FROM DEFECTS;
(d) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS;
(e) RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE.

ZAIRA LABS IS AN EVALUATION AND INFORMATION SERVICE. WE ARE NOT RESPONSIBLE FOR THE BEHAVIOR, PERFORMANCE, SECURITY, QUALITY, OR AVAILABILITY OF ANY TOOL LISTED IN THE ZAIRA GUIDE OR HOLDING A ZAIRA CERTIFICATION.

10. Limitation of Liability

10.1. No Liability for Evaluation Outcomes. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIRA LABS SHALL NOT BE LIABLE FOR ANY CLAIM, DAMAGE, OR LOSS ARISING FROM OR RELATED TO: (a) THE CONTENT, ACCURACY, OR COMPLETENESS OF ANY EVALUATION, SCORE, CERTIFICATION, OR EDITORIAL CONTENT; (b) ANY DECISION MADE BY YOU OR ANY THIRD PARTY BASED ON ZAIRA LABS’ EVALUATIONS, SCORES, CERTIFICATIONS, OR EDITORIAL CONTENT; OR (c) THE PERFORMANCE, SECURITY, QUALITY, RELIABILITY, OR AVAILABILITY OF ANY TOOL EVALUATED, LISTED, OR CERTIFIED BY ZAIRA LABS.

10.2. No Liability for Tool Performance. ZAIRA LABS DOES NOT DEVELOP, OPERATE, MAINTAIN, OR CONTROL THE TOOLS LISTED IN THE ZAIRA GUIDE OR CERTIFIED UNDER THE ZAIRA STANDARD. ZAIRA LABS IS NOT LIABLE FOR ANY DAMAGES CAUSED BY YOUR USE OF OR RELIANCE ON ANY SUCH TOOL, REGARDLESS OF WHETHER THAT TOOL HOLDS A ZAIRA CERTIFICATION.

10.3. Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIRA LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND REGARDLESS OF WHETHER ZAIRA LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.4. Aggregate Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAIRA LABS’ TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT YOU PAID TO ZAIRA LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (b) ONE HUNDRED U.S. DOLLARS ($100).

10.5. Essential Basis. THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE. YOU ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND ZAIRA LABS AND THAT ZAIRA LABS WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.

11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless Zaira Labs, its members, officers, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

(a) Your use of or access to the Services;
(b) Your violation of these Terms;
(c) Your violation of any applicable law, regulation, or third-party right;
(d) Any misrepresentation of Zaira Scores, certification status, or evaluation data by you;
(e) Any unauthorized use of the Zaira Marks or Zaira Certified badge;
(f) Any dispute between you and a third party relating to the Services.

11.2. Zaira Labs reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with Zaira Labs’ defense of any such claim.

12. Anti-Scraping and Anti-Competitive Use

12.1. Prohibition on Systematic Data Extraction. You may not systematically extract, collect, harvest, or scrape data from the Services through any means — including but not limited to web scraping, crawling, spidering, screen scraping, or using automated tools — except through the API and MCP server within their published usage limits.

12.2. Prohibition on Competitive Use. You may not use data obtained from the Services to create, enhance, train, or operate any product or service that competes with the Services. Competitive products and services include, without limitation: developer tool directories, tool evaluation or rating services, agent-readiness certification programs, tool recommendation engines for AI agents, and MCP-based tool discovery services.

12.3. Permitted Use. These restrictions do not prohibit: (a) ordinary use of the Services for tool selection and evaluation decisions; (b) referencing Zaira Labs data with attribution in articles, research, or reviews; (c) using the API or MCP server within published limits for their intended purpose; or (d) building integrations that consume Zaira Labs data to enhance your own non-competing product, in accordance with published API terms.

12.4. Enforcement. Zaira Labs may pursue all available legal and equitable remedies for violations of this section, including injunctive relief, without the requirement to post a bond.

13. Governing Law and Dispute Resolution

13.1. Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict-of-law provisions.

13.2. Binding Arbitration. Any dispute, claim, or controversy arising from or relating to these Terms or the Services (“Dispute”) shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The seat of arbitration shall be King County, Washington. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3. Class Action Waiver. YOU AND ZAIRA LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding.

13.4. Exceptions. Notwithstanding Section 13.2, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights, enforce the anti-scraping and anti-competitive use provisions of Section 12, or address unauthorized use of the Zaira Marks or Zaira Certified badge.

13.5. Small Claims. Either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.

14. Modification of Terms

14.1. Zaira Labs may modify these Terms at any time. For material changes — defined as changes that substantially affect your rights or obligations — Zaira Labs will provide at least 90 days’ advance notice by posting the updated Terms on the website and, where feasible, notifying registered users by email.

14.2. Non-material changes (such as corrections, clarifications, or formatting adjustments) may take effect immediately upon posting.

14.3. Your continued use of the Services after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

14.4. Zaira Labs will maintain an archive of prior versions of these Terms, accessible on the website.

14.5. Grandfathering for Existing Users. When a material change to these Terms or to published pricing tiers would adversely affect Users who have already accepted and continue to use the Services under prior Terms, Zaira Labs will, where feasible, allow those Users to continue under the prior Terms for a transition period of at least 90 days following the effective date of the change. This grandfathering does not apply where required by law, where a security or compliance issue compels an immediate change, or where the prior Terms have already expired by their own terms.

15. Termination

15.1. By You. You may stop using the Services at any time. If you have a registered account, you may request account deletion by contacting team@zairalabs.ai.

15.2. By Zaira Labs. Zaira Labs may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to violation of these Terms, non-payment of fees, or discontinuation of the Services. Zaira Labs will make reasonable efforts to provide notice before termination, except where immediate termination is necessary to protect the integrity of the Services or comply with legal obligations.

15.3. Effect of Termination. Upon termination:

(a) Your right to access and use the Services ceases immediately;
(b) Any licenses granted to you under these Terms terminate;
(c) Sections that by their nature should survive termination will survive, including but not limited to: Section 4 (Evaluation Methodology and Opinion Disclaimer), Section 5 (Zaira Certified Marks and Badge), Section 7 (Intellectual Property), Section 9 (Disclaimer of Warranties), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 12 (Anti-Scraping and Anti-Competitive Use), Section 13 (Governing Law and Dispute Resolution), and this Section 15.3.

16. General Provisions

16.1. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

16.2. Entire Agreement. These Terms, together with any certification agreement, order form, or other written agreement between you and Zaira Labs, constitute the entire agreement between you and Zaira Labs regarding the Services. These Terms supersede all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Services.

16.3. Waiver. The failure of Zaira Labs to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Zaira Labs.

16.4. Assignment. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Zaira Labs. Zaira Labs may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

16.5. Force Majeure. Zaira Labs shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.

16.6. Notices. Notices to Zaira Labs must be sent to team@zairalabs.ai. Notices to you will be sent to the email address associated with your account or, for non-registered users, posted on the website.

16.7. No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights. Tools listed in the Zaira Guide or holding Zaira Certifications are not third-party beneficiaries of these Terms, except to the extent that a separate certification agreement expressly provides otherwise.

16.8. Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.

16.9. Construction. These Terms shall not be construed against Zaira Labs solely because Zaira Labs drafted them.

17. Contact
